Welcome to Spencer. These Terms of Service ("Terms") govern your access to and use of Spencer's executive compensation intelligence platform, including our website, applications, and services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. Please read these Terms carefully before using Spencer.
You must be at least 18 years old and have the legal capacity to enter into binding contracts to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms and that the organization agrees to be bound by these Terms.
To access certain features of the Service, you must create an account. When creating an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We reserve the right to suspend or terminate your account if any information provided during registration proves to be inaccurate, false, or misleading.
Spencer provides an AI-powered platform for executive compensation analysis, including but not limited to: automated proxy statement analysis, peer group benchmarking, SEC filing retrieval and processing, report generation, and data extraction tools.
The Service is designed for professional use by compensation consultants, analysts, and related professionals. The information provided through the Service is for informational purposes and should not be considered financial, legal, or investment advice.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, and the design, selection, and arrangement thereof) are owned by Spencer, its licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
You retain ownership of any data you upload to the Service. By uploading data, you grant Spencer a non-exclusive, worldwide, royalty-free license to use, process, and store such data solely for the purpose of providing the Service to you.
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection and use of your information.
The Service processes publicly available SEC filings and other public data sources. Spencer does not guarantee the accuracy, completeness, or timeliness of any data retrieved or processed through the Service.
Certain features of the Service may require a paid subscription. Subscription fees are billed in advance on a monthly or annual basis, depending on the plan you select. You agree to pay all applicable fees and authorize us to charge your payment method for such fees.
Subscription fees are non-refundable except as required by law or as explicitly stated in these Terms. We reserve the right to change our subscription fees upon reasonable notice. Continued use of the Service after a fee change constitutes acceptance of the new fees.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, secure, or error-free. The information provided through the Service should not be relied upon as a substitute for professional advice. You are solely responsible for verifying the accuracy of any data or analysis before making business decisions.
TO THE FULLEST EXTENT PERMITTED BY LAW, SPENCER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID US, IF ANY, IN THE PAST TWELVE MONTHS.
You agree to defend, indemnify, and hold harmless Spencer and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.
You may terminate your account at any time by contacting us at chase@spencertool.ai. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service prior to the changes becoming effective. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the federal or state courts located in Delaware.
